ESM prices €1bn digitally native bond to settle through Pontes, a first for a European supranational

The bond is created on Clearstream's D7 platform, with the cash leg settling in central bank money through the Eurosystem's Pontes service. It can also move into T2S and is expected to be usable as collateral at the Eurosystem and Eurex.

The European Stability Mechanism (ESM) has priced a €1 billion digitally native benchmark bond, the first DLT-based bond by a European supranational issuer to be settled through the Eurosystem’s Pontes platform, the Bundesbank, ESM and Clearstream said on Monday 26 October.

The three institutions said the deal “marks the transition of Europe’s wholesale digital financial infrastructure from pilot projects to live deployment”.

The bond

The ESM’s transactions page lists the bond as a new digitally native note (ISIN EU000A2SCA15), priced on 26 October, maturing on 8 April 2030 with a 3.375% coupon.

In its own release, the ESM said it raised €1 billion with a long 3-year transaction. The spread was fixed at mid-swaps plus 3 basis points, for a re-offer yield of 3.468%, and the order book exceeded €2.2 billion, including joint lead manager interest. The joint lead managers were DZ BANK, HSBC, Santander and Société Générale, and DZ BANK and Société Générale were also appointed as Digital Advisory Banks. The same four banks are named as stabilising managers in DZ BANK’s pre-stabilisation notice, which describes the note as fixed-rate with an annual coupon on an Act/Act basis.

“This transaction completes the ESM and EFSF’s combined 2026 funding programme,” said Jun Dumolard, the ESM’s Head of Funding and Investor Relations.

How it settles

  • Issuing and paying agent: the Bundesbank, which has been onboarded to Pontes as a market participant.
  • DLT operator: Clearstream acts as the Pontes Market DLT Operator. It creates and manages the bond on the Clearstream Digital Infrastructure and runs delivery-versus-payment settlement on its D7 DLT platform.
  • Cash leg: settled via Pontes directly in T2, the Eurosystem’s high-value payment system, in central bank money.
  • Route back to the traditional stack: Clearstream’s hybrid model lets the bond move from D7 into traditional infrastructure, where it can settle in TARGET2-Securities (T2S).

Collateral and listing

None of the listing or collateral features is in place yet. The partners expect the bond to be listed on the Luxembourg Stock Exchange and to be eligible for Eurosystem monetary policy operations via the Eurosystem Collateral Management System. They also expect Eurex Clearing to accept it as collateral and Eurex Repo to include it in its general collateral baskets, which they said would help secondary-market liquidity and widen the investor base.

“This benchmark bond issuance by the ESM marks an important milestone for Europe’s digital financial markets,” said Pierre Gramegna, the ESM’s Managing Director.

Joachim Nagel, President of the Bundesbank, called it “an important step towards integrating distributed ledger technology (DLT) into Europe’s financial market infrastructure”. Stephanie Eckermann, a member of Deutsche Börse’s Executive Board and Chairwoman of Clearstream, said that with Pontes, “wholesale central bank money transactions have become an operational reality”.

Context

The Eurosystem launched Pontes on 21 September, with Clearstream among the DLT operators and the Bundesbank among the market participants onboarded at launch (our launch report).

What we are watching

  • Confirmation of the Luxembourg listing and of collateral eligibility at the Eurosystem, Eurex Clearing and Eurex Repo, all described as “expected” for now.
  • How much of the bond moves into T2S, and how much secondary trading stays on D7.
  • Whether other supranational, agency and sovereign issuers follow with benchmark-size DLT deals. The ESM has not said whether it will issue again in digital form.
