SEC FY 2027 exam priorities flag extended hours, tokenisation and super intelligence
The Division of Examinations' FY 2027 priorities say it will check whether liquidity providers are ready for longer trading days and will scrutinise best execution, Treasury clearing and Reg SCI systems.
The SEC’s Division of Examinations published its fiscal year 2027 priorities on Friday 23 October. For trading firms and market infrastructure, extended trading hours, tokenisation, Treasury clearing and super intelligence (SI) all feature prominently.
The SEC said the priorities cover the Division’s more than 34,000 registrants. The Division added that they are “not an exhaustive list” and that it may change its focus during the year.
The priorities are not rules and do not create new obligations; they indicate where examiners expect to focus.
Extended hours and best execution
The priorities report says equity and fixed-income trading practices “remain a Division priority”. “With more trading venues offering extended trading hours”, examiners will review:
- operational challenges;
- the availability of liquidity providers, including “whether the providers are willing, ready, and able to provide liquidity on and off exchange”;
- policies and procedures for market and credit risk management.
Examiners will also review broker-dealers’ routing and execution of orders, including compliance with best-execution obligations. US stock trading is expected to move to 23 hours a day from 6 December. NYSE Arca says in its extended-hours FAQ that it “plans to launch” extended-hours trading on that date, subject to SEC approvals, the availability of the securities information processors and DTCC’s modernisation work. Nasdaq has told members in a trader alert that it intends to introduce an overnight session the same day.
Treasury clearing and broker-dealer finances
Net capital and customer protection reviews will include recent amendments to the Customer Protection Rule on daily customer reserve computations and US Treasury clearing. Examiners will also look at prime brokerage, considering concentration, liquidity and counterparty credit risks.
For clearing agencies, the report lists defaults, recovery and wind-down, securities lending, operations and tokenisation as high-risk areas. Examiners will check compliance with new rules on expanded Treasury clearing, clearing agency governance, recovery and orderly wind-down plans, and straight-through processing by central matching service providers.
Reg SCI, tokenisation and quantum computing
Examinations under Regulation SCI will focus on “emerging trends, including SI, tokenization of securities, extended trading hours, and quantum computing”. Staff will also review SCI entities’ reliance on cloud and other third-party vendors, including how they identify vendor systems that qualify as SCI systems or indirect SCI systems.
Exchanges will be examined on whether they enforce compliance with their own rules and the federal securities laws, with a focus on regulatory programmes and governance.
Super intelligence
The report says registrants are increasingly using SI in core operations, including investment analysis, customer management and code development. It also warns that threat actors are using SI to automate cyberattacks. Examiners will review firms’ policies for monitoring SI, including in trading functions, and their preparation for SI-generated phishing and deepfake voice and video used for social engineering.
“The markets we oversee continue to evolve rapidly, and the examination program must evolve with them,” said Keith Cassidy, Director of the Division of Examinations.
What we are watching
- How quickly exam requests on overnight liquidity and risk controls follow the planned 6 December start of 23-hour trading, which remains subject to SEC approval.
- Whether examiners’ work on tokenisation feeds into the SEC’s broader policy work on tokenised securities venues.
