A registration statement for the Winklevoss Zcash ETF was filed with the SEC on 6 October 2026. The sponsor is Winklevoss Asset Services, LLC. The shares would list on the Nasdaq Stock Market under the ticker WINK.

Structure

The trust would hold ZEC, the native asset of the Zcash network, and aim to reflect the price of the ZEC it holds, less expenses. It would calculate its net asset value each business day by reference to a pricing benchmark. In this draft, the benchmark, its provider and the underlying index are left blank. The filing describes the index as an aggregation of trades on major ZEC trading platforms.

Fees and service providers

The trust would pay the sponsor an annual unified fee of 0.25% of its ZEC holdings. The custodian, Gemini Trust Company, LLC, is an affiliate of the sponsor and would hold all of the trust’s ZEC. CSC Delaware Trust Company is named as trustee.

The filing also names Cypherpunk Technologies Inc. as the trust’s “Zcash Ecosystem Partner”. In that role it may help with coinholder polling and voting and give guidance on protocol and technical developments.

Creations and redemptions

Shares would be issued and redeemed only in baskets, in exchange for ZEC or cash. The basket size is not yet filled in.

Why it matters

An S-1 does not mean a product will launch. Several terms remain blank and the filing is subject to SEC review. It adds ZEC, which the filing says offers “selective privacy-preserving features”, to the list of crypto assets proposed for US exchange-traded products.
